Terms of Service

Binding agreement governing all access to and use of the James Scott ecosystem Platform operated by the Embassy Row Project.

Scope and Acceptance

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User") and the Embassy Row Project ("Organization," "we," "us," or "our"), governing all access to and use of the Platform located at jamesscotticit.expert and all associated subdomains, tools, and services (collectively, the "Platform").

By accessing or using the Platform in any manner — including browsing, submitting forms, using the Deep Analysis tool, or making a donation — you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree to these Terms, you must immediately cease all use of the Platform.

These Terms apply in addition to any supplemental policies referenced herein, including the Privacy Policy, Donation Terms, Scholarship Terms, and Fund Usage Policy, each of which is incorporated by reference.

Definitions

  • "Platform" means the website at jamesscotticit.expert, all associated subdomains, the Deep Analysis tool, contact forms, application portals, and any other digital service operated by the Organization.
  • "Content" means all text, data, frameworks, research, analyses, reports, visual materials, tool outputs, and other information published on or generated by the Platform.
  • "User" means any individual or entity that accesses or uses the Platform in any capacity, including visitors, applicants, donors, and registered account holders.
  • "Organization" means the Embassy Row Project, operating the Platform and the associated ecosystem of specialized institutes.
  • "Submission" means any data, document, message, or content transmitted to the Platform by a User, including scholarship applications, contact form messages, and Deep Analysis tool inputs.
  • "Account" means a registered user profile created via the Manus OAuth authentication system, where applicable.
  • "Deep Analysis Tool" means the AI-assisted multi-agent processing workspace accessible at /deep-analysis, which processes user-submitted queries through proprietary analytical frameworks.

Eligibility

Access to the Platform is restricted to individuals who: (a) are at least 13 years of age, or 16 years of age for Users located in the European Economic Area; (b) possess the legal capacity to enter into a binding agreement under applicable law; and (c) are not barred from receiving services under the laws of any applicable jurisdiction.

Users who are minors (under 18 years of age) may access the Platform only with the verifiable consent of a parent or legal guardian, who assumes full responsibility for compliance with these Terms. The Organization reserves the right to request proof of age or legal capacity at any time and to terminate access where eligibility cannot be confirmed.

By using the Platform, you represent and warrant that all information you provide is accurate, current, and complete, and that your use of the Platform does not violate any applicable law or regulation in your jurisdiction.

Permitted Use

Subject to full compliance with these Terms, the Organization grants Users a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for the following purposes:

  • Reviewing informational Content about James Scott, the Embassy Row Project, and associated institutes for personal, non-commercial purposes.
  • Submitting scholarship applications through designated application portals.
  • Making voluntary donations through the designated donation interface.
  • Using the Deep Analysis tool for personal research and informational purposes, subject to the tool's specific usage terms.
  • Contacting the Organization through the official contact form for legitimate inquiries.

This license does not include any right to reproduce, distribute, modify, create derivative works from, publicly display, or commercially exploit any Platform Content.

Prohibited Conduct

The following actions are expressly prohibited and constitute a material breach of these Terms, subject to immediate account termination, access revocation, and legal action:

  • Submitting false, fraudulent, fabricated, or materially misleading information in any application, form, or communication.
  • Impersonating any individual, organization, or entity, including James Scott or any institute affiliated with the Organization.
  • Attempting to gain unauthorized access to any part of the Platform, its servers, databases, or associated systems through any means.
  • Using automated tools, bots, scrapers, crawlers, or data extraction software to harvest Content without prior written authorization from the Organization.
  • Reverse-engineering, decompiling, disassembling, or attempting to derive source code from any software component of the Platform.
  • Uploading, transmitting, or introducing malicious code, viruses, ransomware, or any content designed to disrupt, damage, or gain unauthorized access to Platform systems.
  • Using the Platform for any unlawful purpose, including money laundering, fraud, identity theft, or any activity that violates applicable law.
  • Reproducing, distributing, or creating derivative works from Platform Content, including proprietary frameworks (OmniSynth, ARCS, ARCF, Helios, MPPT), without explicit prior written permission.
  • Circumventing, disabling, or interfering with any technical security measure or access control implemented by the Organization.
  • Engaging in any conduct that imposes an unreasonable or disproportionate load on Platform infrastructure.

Violations will result in immediate account suspension, permanent termination of access, reporting to relevant law enforcement authorities, and pursuit of civil and criminal remedies to the full extent of applicable law.

Intellectual Property

All Content on the Platform — including but not limited to the proprietary frameworks OmniSynth, ARCS, ARCF, Helios, and MPPT; research publications; analytical methodologies; visual designs; tool architectures; and all associated documentation — is the exclusive intellectual property of the Embassy Row Project and/or James Scott, protected under applicable copyright, trademark, patent, and trade secret law in the United States and internationally.

No license, right, title, or interest in any intellectual property is transferred to any User by virtue of accessing the Platform or receiving services. The Organization's name, logos, and proprietary framework names are trademarks of the Organization and may not be used without prior written authorization.

Unauthorized reproduction, distribution, public display, or commercial exploitation of any Content constitutes copyright infringement and will be pursued to the full extent of applicable law, including injunctive relief and damages.

User Submissions

By transmitting any Submission to the Platform — including application materials, contact form messages, uploaded documents, or Deep Analysis tool inputs — you grant the Organization a non-exclusive, royalty-free, worldwide, perpetual license to use, store, process, and reference such Submission solely for the purpose of: (a) evaluating your submission; (b) providing requested services; and (c) fulfilling the Organization's philanthropic and operational mission.

You represent and warrant that: (i) all Submission content is your original work or you hold the legal right to submit it; (ii) the Submission does not infringe upon the intellectual property rights, privacy rights, or other rights of any third party; and (iii) the Submission does not contain false, fraudulent, or defamatory content.

Submissions containing personal data are processed in accordance with the Privacy Policy. The Organization does not guarantee confidentiality of Submissions beyond the protections described therein.

Third-Party Services and External Links

The Platform integrates with and links to third-party services including payment processors, analytics providers, and authentication services. These third-party services are governed exclusively by their own terms of service and privacy policies. The Organization does not control, endorse, or assume responsibility for the content, practices, security, or policies of any third-party service.

Payment processing for donations is handled by independent third-party payment processors. The Organization does not store payment card data, and the security of payment transactions is governed by the applicable payment processor's terms and security practices.

External links on the Platform are provided for informational purposes only. The Organization makes no representation regarding the accuracy, completeness, or reliability of any externally linked content.

Disclaimer of Warranties

THE PLATFORM AND ALL CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. THE ORGANIZATION EXPRESSLY DISCLAIMS ALL WARRANTIES INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

The Organization does not warrant that: (a) the Platform will be uninterrupted, error-free, or secure at all times; (b) any Content is accurate, complete, current, or fit for any particular purpose; (c) any defects or errors will be corrected; (d) the Platform or its servers are free of viruses or other harmful components; or (e) any particular outcome will result from use of the Deep Analysis tool or any other Platform feature.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE ORGANIZATION, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES — INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE SERVICES — ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF THE PLATFORM, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF THE ORGANIZATION HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL THE ORGANIZATION'S TOTAL AGGREGATE LIABILITY TO ANY USER FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE PLATFORM EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY SUCH USER TO THE ORGANIZATION IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED UNITED STATES DOLLARS (USD $100).

Some jurisdictions do not permit the exclusion or limitation of certain damages. In such jurisdictions, the Organization's liability is limited to the maximum extent permitted by law.

Indemnification

You agree to indemnify, defend, and hold harmless the Organization and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of or access to the Platform; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) any Submission you transmit to the Platform; or (e) any infringement by you of the rights of any third party.

Termination and Suspension

The Organization reserves the right to suspend or permanently terminate any User's access to the Platform, with or without prior notice, for any reason, including but not limited to: (a) violation of these Terms; (b) submission of fraudulent or misleading information; (c) conduct that the Organization determines, in its sole discretion, to be harmful to the Platform, the Organization, or other Users; or (d) compliance with applicable law or regulatory requirements.

Upon termination, all licenses granted under these Terms immediately cease. Sections of these Terms that by their nature should survive termination — including intellectual property, disclaimer of warranties, limitation of liability, indemnification, and governing law — shall survive indefinitely.

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. For Users located in the European Union or European Economic Area, mandatory consumer protection provisions of the applicable EU member state law shall apply to the extent required by law.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Platform shall first be subject to good-faith negotiation between the parties. If negotiation fails to resolve the dispute within thirty (30) days, the parties agree to submit the dispute to binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, with proceedings conducted in Delaware, United States. Notwithstanding the foregoing, the Organization retains the right to seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights.

EU Users retain the right to bring claims before the competent courts of their country of residence and to access the EU Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

Modifications to Terms

The Organization reserves the right to modify these Terms at any time. Material modifications will be communicated by updating the effective date displayed on this page and, where practicable, by posting a notice on the Platform. Non-material modifications take effect immediately upon posting.

Your continued access to or use of the Platform following the posting of modified Terms constitutes your binding acceptance of the modified Terms. If you do not agree to the modified Terms, you must immediately cease all use of the Platform.
